Co-llab is an eight-week, part-time creative, educational and community program that brings creators, creative professionals, marketers and technologists together to create original work using AI and other creative tools.

Participants are organized into teams and given creative briefs. Teams decide how to respond to those briefs, which tools to use, which human and creative assets to incorporate, and how to navigate the permissions, consent, ownership and rights involved in making their Project.

Co-llab is primarily virtual and may include optional in-person programming, production sessions and a Showcase in New York City.

You must be at least 18 years old to participate.

Submitting an application does not guarantee admission. Royall determines participant selection, team composition, briefs, programming and available tools.

Information submitted in your application must be accurate, and you must have the right to share any materials you submit.

Applicants who may be a fit for the Program may be invited to a brief interview before final selections are made.

Co-llab is designed to operate alongside participants' existing work, education, projects and other commitments.

We estimate that participation will require approximately 5–10 hours per week, although actual time may vary depending on your team, Project and stage of production.

Teams determine their own working schedules and meeting cadence. Participants are expected to communicate, collaborate in good faith, attend required Program sessions where reasonably possible and make a genuine contribution to their team.

Participation is primarily virtual. Any in-person sessions, including New York production sessions or the Showcase, are optional unless you separately agree otherwise.

There is no fee to apply to or participate in Co-llab.

Participation is voluntary. Participants are not employees or contractors of Royall and are not paid a salary, wage, stipend or honorarium for participating in the Program.

Unless Royall expressly agrees otherwise in writing, participants are responsible for their own travel, accommodation, equipment and personal expenses.

Participation does not create an employment, independent contractor, agency, fiduciary, partnership or joint venture relationship between you and Royall, another participant, a mentor, specialist, partner or sponsor.

Nothing in these Terms prevents you from working on other projects or engaging in other professional activities during Co-llab.

Teams may receive a limited production budget in "Co-llab Credits" that can be used with participating AI, production and creative tools.

Co-llab Credits are Program credits only. They have no cash value, cannot be redeemed for money, cannot be transferred outside your team and expire according to the Program rules.

Royall may add, remove or change participating tools, credit allocations, credit pricing or tool availability during the Program.

Third-party tools may have their own terms, usage restrictions and privacy policies. Participants are responsible for complying with those terms when using those services.

Participants may have access to mentors, specialists and other contributors during Co-llab.

Their role is educational and advisory. Unless separately agreed in writing, they do not act as your attorney, agent, manager, accountant, financial advisor or other professional representative.

Nothing provided through Co-llab constitutes legal, financial, tax or investment advice. Participants should seek independent professional advice where appropriate.

Your name, face, voice, likeness, image, performance, identity and creative work remain yours.

Registering an asset with Royall, storing it in a Royall Vault or participating in Co-llab does not transfer ownership of your identity to Royall, your teammates, Program partners or anyone else.

Participation in Co-llab is not blanket consent to the use of your identity.

If another participant, team, partner or Royall wants to use your face, voice, likeness, performance or another protected identity asset, the applicable use must be authorized according to the permissions you grant.

You may agree to one use without agreeing to another.

Participants may use Royall's identity infrastructure, including the Royall Vault, to register and manage identity and creative assets and related permissions.

Certain Royall services may process biometric or similarly sensitive information. Where required, that processing is governed by a separate biometric notice and consent agreement presented through the Royall Vault.

Royall does not acquire ownership of identity assets because they are uploaded, registered, processed or stored through the Vault.

Royall will not use your face, voice or identity assets to train an AI model or create a synthetic version of you unless you have separately and expressly consented in writing to that specific use.

Before an identity asset is used in a Project, the relevant participants must establish the permissions required for that use.

Those permissions may specify matters including the asset being authorized, who may use it, the purpose of the use, permitted media or formats, duration, territory, commercial or non-commercial status, compensation if any, modification or synthetic use rights, and other restrictions.

If the required permission has not been granted, the use does not move forward.

Participants may decline a proposed use of their identity or creative work without being required to leave Co-llab.

Anything you owned before Co-llab remains yours.

You should not introduce pre-existing music, artwork, footage, characters, writing, recordings, trademarks, copyrighted material or other intellectual property into a team Project unless you have the right to do so and its use has been expressly agreed and documented.

Participation in Co-llab does not give your teammates or Royall ownership of your pre-existing intellectual property.

Teams should only use material they created themselves, material they have permission to use, or material that is appropriately licensed or otherwise lawfully available for the intended use.

The availability of material through an AI system, website, dataset or creative tool does not by itself establish that you have the right to use it.

You may not knowingly contribute material that infringes another person's intellectual property, privacy, publicity or other rights.

Royall does not automatically own Projects created through Co-llab.

Because different participants may contribute different types and amounts of work, Co-llab does not impose an automatic equal ownership split.

Teams will document material contributions, ownership, credits, pre-existing IP, identity permissions, permitted uses and, where applicable, revenue participation through a Project Agreement, split sheet, rights record or similar documentation ("Project Agreement").

Participants are responsible for reviewing and agreeing to their Project Agreement before a Project is commercially exploited or otherwise used beyond the permissions already established.

A participant's rights in their identity remain separate from copyright or other ownership rights in the Project unless expressly agreed otherwise.

If a specific Project Agreement or Identity Permission conflicts with these general Terms regarding the permitted use of a particular Project or asset, the more specific written agreement controls for that use.

The legal status and protectability of AI-generated material varies by jurisdiction and circumstance.

Royall does not guarantee that AI-generated output is eligible for copyright or other intellectual property protection, or that an AI-generated output is free from third-party claims.

Participants are responsible for reviewing outputs before incorporating them into Projects and for understanding relevant terms associated with the tools they choose to use.

The creative briefs used in Co-llab are created for the Program and are not commissioned commercial briefs unless expressly identified otherwise.

A Project may have commercial potential after Co-llab.

Royall does not have an automatic right to sell, license or commercially exploit a Project or a participant's identity merely because the Project was created through Co-llab.

Any licensing, commission, sale, distribution or other commercial opportunity requiring participant rights will require the appropriate rights holders to agree to the applicable terms in writing.

If Royall introduces or participates in a commercial opportunity, any fee, revenue share or other economic participation by Royall will be disclosed and agreed before that transaction proceeds.

Royall does not take ownership of unfinished ideas or unused concepts simply because they were developed during Co-llab.

Material you brought into the Program remains yours.

Where an idea, concept or work was developed collaboratively, contributors must respect the rights of the other contributors and should not independently exploit jointly developed material unless the necessary rights have been established.

Projects may be presented as part of a Co-llab Showcase and may be documented as part of the Program.

Participation in the Showcase does not automatically authorize unrestricted commercial exploitation of a Project.

Any broader release, distribution, licensing or commercialization remains subject to the applicable Project Agreement, Identity Permissions and other rights associated with the Project.

Subject to the permissions established for the applicable Project and identity assets, you grant Royall a non-exclusive, worldwide, royalty-free license to document Co-llab and to reproduce, display and communicate approved Projects, excerpts, stills and Program materials for purposes of operating, documenting and promoting Co-llab and Royall.

Where authorized, Royall may also use your name, approved biography and photographs or video captured at Program events for those purposes.

This does not give Royall the right to create new synthetic content using your identity, train an AI model on your identity, endorse a third-party product using your identity, or independently license your identity or Project to a third party.

Royall may retain historical and archival materials documenting Co-llab, including previously published Program materials.

You may ask Royall to stop new promotional uses of your individual name, image or likeness. Such a request does not necessarily require Royall or third parties to recall or delete materials that were lawfully created, published or distributed before your request.

Participation in The Creator's AI Code is voluntary.

Co-llab gives Royall and participants an opportunity to better understand how creators, marketers, technologists, rights holders and other stakeholders navigate AI, identity, consent and creative work.

Royall may use operational information and de-identified or aggregated insights from the Program to understand and improve Co-llab and Royall's products and services.

Your individual experiences, opinions, survey responses, statements or other contributions will not be publicly attributed to you through The Creator's AI Code without your permission.

Where participation in a Creator's AI Code initiative involves additional use or publication of your contributions, we will ask for your consent.

You may participate in Co-llab without participating in The Creator's AI Code.

Unless Royall or the applicable rights holder says otherwise, non-public Program materials should be treated as confidential.

This may include briefs, unreleased Projects, drafts, partner information, team discussions, production materials and other participants' non-public work.

Participants may be subject to additional promotional or confidentiality guidelines explaining what may be shared publicly and when.

You may not publicly disclose another participant's confidential information, identity assets, unreleased work or private communications without permission.

Participants must treat one another respectfully and professionally.

Harassment, discrimination, threats, unlawful behavior, deliberate infringement, unauthorized use of another person's identity or work, impersonation, fraud and harmful or disruptive conduct are prohibited.

Royall may establish additional reasonable rules for Program sessions, communities, production environments and events.

You may withdraw from Co-llab at any time by notifying Royall and your team.

Royall may suspend or remove a participant for violating these Terms, violating another participant's rights, materially disrupting a team or Program, engaging in unsafe or inappropriate conduct, or repeatedly failing to participate.

Withdrawal ends authorization for new uses of your identity except where you separately agree otherwise.

Withdrawal does not automatically revoke permissions or licenses validly granted before withdrawal, require destruction of a completed or released Project, or eliminate rights held by other contributors.

The applicable Identity Permission or Project Agreement determines what happens to identity assets incorporated into existing Projects.

Deleting an underlying asset from your Royall Vault similarly does not by itself revoke rights previously granted to another party under an active agreement.

You represent that information you provide is accurate, you have the rights necessary to contribute materials you submit, your contributions do not knowingly infringe another person's rights, and you will comply with applicable Project Agreements and Identity Permissions.

Co-llab is an experimental educational and community program.

Royall does not guarantee exposure, employment, representation, investment, licensing opportunities, commercial deals, revenue, career advancement or any other particular outcome.

Program schedules, mentors, specialists, tools, partners, events and other elements may change.

Royall may modify, postpone or cancel part or all of the Program where reasonably necessary.

To the extent permitted by law, the Site and Program are provided "as is" and "as available."

Royall does not warrant that the Site, Program, AI tools or third-party services will be uninterrupted, error-free or suitable for a particular purpose.

To the fullest extent permitted by applicable law, Royall and its directors, officers, employees, contractors, affiliates and Program partners will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, revenues, opportunities or data, arising out of or relating to the Program or Site.

To the fullest extent permitted by law, Royall's aggregate liability arising out of or relating to Co-llab will not exceed US$100.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

You agree to indemnify and hold harmless Royall from reasonable losses, liabilities, claims and costs arising from a third-party claim resulting from your material breach of these Terms, your unauthorized use of another person's identity or intellectual property, or material you contributed without the necessary rights.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Before filing a legal proceeding, you and Royall agree to make a reasonable good-faith effort to resolve the dispute informally.

Any legal proceeding that cannot be resolved informally will be brought in the state or federal courts located in New York County, New York, and the parties consent to the jurisdiction and venue of those courts.

We may update these Terms as Co-llab evolves.

If we make material changes affecting current participants, we will provide reasonable notice, such as through email or the Program.

Changes will not retroactively expand an existing license or identity permission without the consent required for that use.

These Terms, together with the Privacy Policy and any applicable Project Agreement, Identity Permission, biometric consent or other agreement you expressly enter into, govern your participation in Co-llab.

If a provision is found unenforceable, the remaining provisions remain in effect.

Failure to enforce a provision is not a waiver.

You may not transfer your rights or obligations under these Terms without our consent. Royall may transfer these Terms in connection with a merger, acquisition, financing, reorganization or sale of all or substantially all of its relevant business or assets.
